I run my Website, "Gary North's Specific Answers" as a Subchapter-S corporation: GaryNorth.com, Inc. The money passes through to me and my wife, who owns half. I pay taxes on the net income: income tax, Social Security (FICA), and dividends.

You should talk with an attorney about legal matters regarding limited liability. Just don't let him set it up.
You can set it up in either Delaware or Nevada. Both are good states for incorporating.
